OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN

The Artist of the Month Contest ("Artist Monthly Contest") and the Album of the Month Contest ("Album Monthly Contest") are contests that will occur once per month beginning in April 2009 and throughout 2010. Each monthly contest is a separate and distinct contest.

Artist Contest: Each month, vocalists or musicians or members of a musical group, who are of legal age and registered with Stereofame ("Artists") may only enter original songs or musical compositions ("Songs") for listener-reviewers to vote for their favorites via a review process. A panel of judges will determine the winner from the 10 Artists receiving the highest listener review scores. Each monthly winner is automatically entered into the Artist of the Year Contest ("Artist of the Year Contest").

Album Contest: Each month, Artists who have submitted Songs for the Artist Contest but did not win are automatically entered into the Album Contest and a panel of judges will pick 11 Songs to be compiled with the Song by the Artist of the Month in a 12 Song Album of the month. All Artists whose Songs are included in an Album of the Month (in addition to the monthly Artist of the Month) are automatically entered into the Album of the Year Contest ("Album of the Year Contest").

The Artist Monthly Contest is open to all Artists having a registered user account with Stereofame, except -

• Owners, employees or agents of vendors providing products and/or services for or in connection with the Artist Monthly Contest or the Album Monthly Contest;
• Members, managers, employees or agents of Stereofame or any of its affiliates; and

Artists who have won an Artist Monthly Contest are not eligible to win another Artist Monthly Contest in the same calendar year.

Stereofame reserves the right to verify eligibility qualifications and to disqualify any Artist Stereofame determines is in violation of the Official Rules. In addition, Stereofame reserves the right to disqualify any Artist from eligibility in the Artist Monthly Contest in the event that the Artist is a musical group which has disbanded after entering the Artist Monthly Contest.

Artist Monthly Contests and Album Monthly Contests: To submit Songs, Artists should go to the "upload" area of the Artist's profile on Stereofame's website and mark not more than three (3) uploaded Songs as "eligible" for the Artist Monthly Contest. Artists may mark as "eligible" both currently uploaded and newly uploaded Songs. Songs with lyrics which are obscene, profane or not in good taste, in the sole discretion of Stereofame, will not be eligible to win. By marking Songs as "eligible", Artists (a) acknowledge that they have agreed to Stereofame's Digital Music Distribution Agreement, (b) attest that the Songs are original and that they are the rightful owners of the Songs and that the Songs do not infringe on any third party's copyrighted material, trademark or other intellectual property and may be performed, broadcast, reproduced, distributed and sold without obtaining permission from or making any payment to any third party, and (c) authorize the submission of uploaded Songs into the Album Monthly Contest. Artists must submit their Songs by 11:59 p.m., Florida time, on the last day of a calendar month to be entered in the Artist Monthly Contest and Album Monthly Contest for the second month following the month of submission. See the "Example" below for an illustration of this timing.

Listeners may cast their vote for Stereofame's top talent by listening and reviewing Songs submitted by Stereofame Artist by going to Stereofame's website, clicking on "Artist of the Month" Contest, listening to the submitted Songs and providing a score for any one or more Artists using the music review form provided. Listeners can provide scores for any and all Artists from 12:01 a.m., Florida time, on the first day of the month through 11:59 p.m., Florida time, on the twentieth (20th) day of that same calendar month. The Songs of the 10 Artists receiving the highest listener scores will be submitted to a panel of judges comprised of people in the music business (some of whom are affiliated with Stereofame) who will select the monthly winner based on the following equally-weighted criteria: originality of the music, quality of the music and lyrics, overall listenability, and commercial appeal. The winner of each monthly Artist Monthly Contest will be announced on the first day of the following month.

After choosing the Artist Monthly Contest winner for the month, the judges will choose 11 other Songs timely submitted by Artists to be included in the Album Monthly Contest based on the same equally-weighted criteria: originality of the music, quality of the music and lyrics, overall listenability, and commercial appeal. Other Songs submitted by the Artist winning the Artist Monthly Contest for the month will not be eligible for inclusion in the Album of the Month. The Songs the judges select for Album of the Month will be announced on the first day of the following month and will be compiled into an album (the "Album") which may be downloaded free of charge for 30 days by Stereofame's Backstage Pass Members and VIP Members ("Members") and will be offered for sale to those who have registered with Stereofame but are not members at a per-Album cost of $11.95. After the 30 day free download period, the Album will be offered for sale in Stereofame's music download center to Members at a per-Album cost of $9.95 and will continue to be offered for sale to Members at a per-Album cost of $11.95.

EXAMPLE
For the July, 2010 Artist of the Month Contest and Album of the Month Contest, an Artist must submit Songs by May 31st, 2010. Listeners will be able to review songs for one or more Artists from June 1, 2010 through June 20, 2010, and the winner of the July Artist of the Month Contest and the winners of selected Songs for the July Album of the Month Contest will be notified on June 25th, 2010. The winners will have 3 days to complete the Affidavit of Eligibility and Liability/Publicity Release, otherwise an alternative winner will be selected (see prize details below). The winners will then announced on July 1, 2010.

Stereofame will not verify receipt of submissions. Automated or mechanically reproduced submissions are prohibited and, if used, will be disqualified. Stereofame is not responsible for lost, late, illegible, misdirected submissions or transmissions or problems of any kind, whether mechanical, human or electronic. Submissions are the property of Stereofame and will not be acknowledged or returned.

By participating, each Artist (i) agrees to be bound by these Official Rules, (ii) consents to Stereofame's use of the Artist's name for promotional purposes in any media, without additional compensation unless prohibited by law, and (iii) agrees that, if selected a winner, the Artist will be solely responsible for any and all tax liabilities or consequences of accepting and receiving a prize.

Artists selected by the judges as the winner of the Artist of the Month Contest will receive a Stereofame check for $1,000.00 (UScy).

Each of the Artists whose Songs are selected by the judges for the Album Monthly Contest will have their Songs included in the Album of the Month which Stereofame will promote on its website. The Artists will be compensated as provided in Stereofame's Digital Music Distribution Agreement, the terms of which the Artists have accepted. The amount to be paid to each of the Artists depends upon the sales of the Album.

If an Artist has won the Artist Monthly Contest or one or more of an Artist's Songs are selected for the Album Monthly Contest, such winning Artist will be notified on or about the 25th day of the following calendar month by e-mail to their "Stereofame" profile, and will be sent an Affidavit of Eligibility and Liability/Publicity Release. Potential winners must complete the Eligibility Affidavit and return it, and the signed Liability/Publicity Release, to Stereofame within three (3) days or an alternate winner will be selected. If a potential winner cannot be contacted within three (3) days (during normal working hours) from first attempt, an alternate winner may be selected.

Each monthly winning Artist and all monthly winning Songs and their Artists will be announced by the first day of the calendar month immediately following the listener scoring for the Artist Monthly Contest and the Album Monthly Contest. Stereofame's decisions are final. All federal, state and local laws and regulations apply. Void where prohibited, taxed or regulated. No transfer of a prize is permitted. If winner is a musical group, the prize will be awarded in the name of the group.

Each winning Artist of the Month for a calendar year and the other Artists whose Songs are included in a winning Album of the Month for a calendar year are automatically entered into the Artist of the Year Contest and the Album of the Year Contest, respectively, for that calendar year. The Artist of the Year Contests and the Album of the Year Contests are each separate and distinct contests from each Artist Monthly Contest and Album Monthly Contest.

The winner of the Artist of the Year Contest and the Album of the Year Contest will be selected by a panel of judges comprised of people in the music business (some of whom are affiliated with Stereofame) based upon the following equally weighted criteria: originality of music, qualify of music and lyrics, overall listenability, and commercial appeal. The decisions of the judges are final. Winners will be announced before January 31 of the following calendar year.

The winner of the Artist of the Year Contest shall receive a Stereofame check for $5,000 (UScy). The Artists whose Songs are included in the Album of the Year Contest will be compensated as provided in Stereofame's Digital Music Distribution Agreement, the terms of which the Artists have accepted. The amount to be paid to each of the Artists depends upon the sales of the Album of the Year.

Stereofame reserves the right, in its sole discretion and without responsibility or liability to: (i) make all decisions concerning eligibility, which decisions shall be final and binding; (ii) disqualify anyone whom Stereofame determines has been responsible for any tampering with the promotion process or is ineligible or otherwise in violation of the Official Rules; and (iii) suspend, cancel or modify the promotion at any time in the event of any circumstances which may prevent the promotion from proceeding as planned or which may adversely affect the administration, security, fairness or integrity of the promotion, including without limitation the process by which a winner is selected.

By participating in the promotion, Artists agree that Stereofame, its affiliates, or their respective members, managers, shareholders, directors, officers, employees, agents and other authorized representatives are not responsible or liable for: (i) misaddressed, lost, late, ineligible, incomplete or illegible promotion documents; (ii) any injuries, losses, damages, taxes or expenses of any kind incurred as a result of participating in the promotion or winning, accepting, taking possession of, or in any manner using or misusing a prize; (iii) any printing or typographical error in any materials associated with the promotion, or human or technical error, which may occur in processing entries submitted in connection therewith; or (iv) any theft or destruction of, or unauthorized access to, or use or alteration of, any of the Artists' Information submitted hereunder. By participating in the contest, Artists agree to fully and forever release and hold harmless Stereofame, its affiliates, and their respective members, managers, shareholders, directors, officers, employees, agents and other authorized representatives, from any and all losses, damages, rights, claims, actions, or expenses (including attorneys' fees and costs) of any kind whatsoever, in connection with the Promotion or resulting from Artists' participation therein, and, if a winner, any personal injury, death, and/or property damage.

Any and all disputes, claims and causes of action arising out of or connected with this promotion, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this promotion, but in no event attorney's fees. Stereofame reserves the right, in its sole discretion, to cancel or suspend part or all of this promotion should virus, bugs, non-authorized human intervention or other causes beyond the control of Stereofame corrupt or impair the administration, security, fairness or proper play of the promotion. In such event, Stereofame may award prizes in a random drawing from all eligible entries received up to the date of cancellation or suspension. Stereofame is not responsible for technical, hardware, software or telephone failures of any kind, lost or unavailable network connections, fraud, incomplete, garbled or delayed computer transmissions. Stereofame may prohibit any Artist from participating in the promotion or winning a prize if, in its sole discretion, it determines that such Artist is attempting to undermine the legitimate operation of the promotion by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Stereofame representatives.

The names of the winning Artist for each Artist Monthly Contest and the other Artists of their winning Songs for each Album Monthly Contest will be posted online at www.stereofame.com. on or about the first day of the calendar month immediately following the month for which the winning Artist and Songs for the Album have been chosen. The names of the winning Artist of the Year Contest and of the Artists whose Songs are on the Album of the Year will be posted online at www.stereofame.com on or before January 31 of the following calendar year.

REVIEWER OF THE MONTH
CONTESTS

The Reviewer of the Month Contest ("Reviewer Contest") will occur once per month beginning in March 2009 and throughout 2010. Each monthly contest is a separate and distinct contest.

Stereofame members (each, a "Reviewer") may listen to submitted Songs and provide a score for any one or more Artists using the music review form provided (a "Star Review"). Reviewers may provide scores for any and all Artists from 12:01 a.m., Florida time, on the first day of the month, through 11:59 p.m., Florida time, on the twentieth (20th) day of that same calendar month (the "Voting Period"). The Reviewer who submits the most Star Reviews during the Voting Period will win the Reviewer Contest. At the discretion of Stereofame judges, winning Reviewers of the Month may be limited to one win during the calendar year.

The Reviewer Contest is open to all Reviewers of legal age having a registered user account with Stereofame.

The following are NOT eligible to win:

• Owners, employees or agents of vendors providing products and/or services for or in connection with the Contests; and
• Members, managers, employees or agents of Stereofame or any of its affiliates.

Stereofame reserves the right to verify eligibility qualifications and to disqualify any Reviewer found to be ineligible or in violation of the Official Rules.

To provide a score for a Song, go to Stereofame's website, click on "Artist of the Month Contest" and listen to the submitted Songs, then score the Song using the music review form provided. Reviewers can score any one or more Songs during the Voting Period. A Reviewer may not provide a score for any single Song more than once during this Voting Period. The Reviewer who submits the most Star Reviews during the Voting Period will win the Reviewer Contest.

The winner of each monthly Reviewer Contest will be announced on or about the first day of the following month.

Potential winners of a monthly Reviewer Contest will be notified on or about the twenty-fifth day of the calendar month in which Reviewers have scored the Songs by e-mail to their "Stereofame" profile, and will be sent an Affidavit of Eligibility and Liability/Publicity Release. Potential winners must complete the Eligibility Affidavit and return it, and the signed Liability/Publicity Release, to Stereofame within three (3) days.
